There is founded, between the members of these statutes, an association governed by the law of July 1, 1901 and the decree of August 16, 1901 having the title: ALTERNATIVE MOTORCYCLE ASSOCIATION (A.M.A.) hereinafter referred to as “the association
The address of the registered office of the association is fixed at the address indicated in the internal regulations. It can be transferred by decision of the office. This decision must be ratified by the next general assembly. The change of address is communicated to the competent authorities.
The Association, historically AMICALE MOTOCYCLISTE AVIGNONNAISE (AMA), had been declared to the prefecture of Vaucluse and registered on October 10, 1977 under the number 3994. They were declared on May 18, 1993 and the Association was registered at the prefecture of Bouches-du-Rhône under the number 24846 (publication in the Official Journal of the French Republic number 24 of June 16, 1993. The new title and the new registered office currently in force are those defined in articles 1 and 2.
The duration of the Association is unlimited.
• Bring together LGBTQIA+ bikers and supporters around motorcycle riding;
• Organize outings, gatherings, convivial moments and motorcycling events
• Fight against discrimination linked to sexual orientation, gender identity or expression
• Support the LGBTQIA+ movement and promote the visibility of the association.
The association is made up of:
• Active Members: people regularly participating in the activities and life of the association hereinafter called members
• A President and/or Honorary Members: people who have rendered services to the association hereinafter named honorary presidence and honorary members.
The association is open to any adult, without discrimination, sharing the values of the association and the LGBTQIA+ movement. Permanent membership or re-membership, valid for both the pilot and the passenger, is subject to compliance with:
• these statutes
• the internal regulations
• payment of the annual contribution.
To be an active member, you must:
• Be either the driver of a motorcycle with a minimum cylinder capacity of 125 cm³, in working order, registered and insured in the name of the future member, or a regular passenger of a member of the association;
• Respect the laws and regulations relating to the driving of motorcycles, hold a valid driving license, have valid insurance for the vehicle used during the association's activities, covering both the rider and his passenger.
The association is also open for a one-off activity (day outing) to any adult wishing to discover the activities of the association while respecting the statutes, the internal regulations, its values and the LGBTQIA+ movement. He/she must fill out a temporary membership form and give it to the event organizer. This temporary membership form is nominative, valid only once and for a single activity, without financial participation being requested. This bulletin is kept for the duration of the event by the organizer, then transmitted to the administrative secretariat of the AMA at the end of the activity. Temporary memberships are neither renewable nor renewable. If the association's activities continue, the temporary member will have to pay the annual subscription. However, the temporary membership title does not allow participation in activities organized by other clubs affiliated with the GLME or in GLME activities.
Members of GLME affiliated clubs benefit from:
• Temporary membership (for pilot and passenger) for a maximum of three outings per year;
• Beyond these three participations, they must join the AMA as permanent members of the AMA.
They must also respect the rules defined for active members described in article 7.1
Membership is lost:
• By resignation: upon written request (mail, email);
• By non-payment of the annual contribution within the set deadlines;
• By death of the member.
The management of internal conflicts, mediation between members and exclusions for serious reasons fall within the competence of the Office, according to the terms defined in article 3 of the internal regulations.
Special cases:
1. A non-motorcyclist passenger whose lead rider has been removed from the association can retain their membership if they become a regular passenger of another motorcyclist member;
2. A member who no longer has a motorcycle in working order can also maintain his or her membership status provided that he or she is a regular passenger of another member with a motorcycle.
The resources of the association are made up of:
• Contributions paid by permanent members;
• Possible aid from other partner associations;
• Public subsidies, emanating from the state, regions, departments, municipalities or any public body;
• All legally authorized resources (donations from natural or legal persons, legacies, patronage, etc.);
• The sale of articles or products bearing the association's logo, carried out in compliance with the legislation in force and the profits from which will only be used to finance the activities provided for in the statutory object of the association, by decision of the Bureau.
The annual subscription for so-called “active” members is payable before March 1 of each year. It is valid for a period of one year, from March 1 to February 28 of the following year.
Any new member paying their membership fee between March 1 and August 31 is considered a permanent member until February 28 of the following year. He must renew his membership before March 1 of the following year to maintain his status.
Any new member paying their membership fee between September 1 and February 28 is considered a permanent member until February 28 of year N+1. This provision allows them to benefit from an extended membership period beyond the first annual renewal.
Is considered a new member:
• Anyone who has never joined the association;
• Anyone who has not been a member for more than a year.
• The association is managed by a Bureau composed of at least three members including a President, an Administrative Secretary, a Treasurer, who can be assisted by four additional members including a Vice-President, a Deputy Treasurer, an Internal Relations Secretary and an External Relations Secretary.
• These members are elected individually each year by the ordinary General Assembly.
• The President represents the association in all acts of civil life, including in court. As such, he/she is authorized to sign contracts on behalf of the association.
• The association's expenses are authorized by the President and validated by the tresorerie based on available cash.
The assembly may appoint, from among its members or from outside, and for a period defined by the office, a presidence or honorary members who will be considered full members of the association with voting rights left to the discretion of the office. At the invitation of the members of the office, the honorary presidence may participate in the meetings of the office with a consultative voice.
Members of the association cannot receive any remuneration in return for their functions. However, the association can take charge, on an ad hoc basis and upon validation by the Office:
• Costs associated with friendly times organized by local delegations,
• All or part of the costs relating to motorcycling activities or events approved by the Bureau,
Upon presentation of documents justifying these expenses.
The Office is responsible for:
• The proper functioning of the association and respect for its values;
• The implementation of decisions voted at the General Assembly;
• Management of the association’s activities and assets.
The members of the office meet regularly, remotely, at least once a quarter and in person, at least once a year.
For a decision of the Bureau to be valid, the presence of at least three of its members is required.
Minutes are drawn up at the end of each meeting. It is signed by the members present, archived by the Administrative Secretary, and a summary is communicated to the members by any desirable means.
• The association can be represented locally by delegates and co-delegates.
• The delegate, who must be a voluntary member, is approved by the Bureau.
• He.she:
• Coordinates the local activities of his delegation;
• Serves as a relay between the members of his delegation and the Office;
• Receives a financial allocation calculated each year by the office. Its amount depends on the number of members confirmed after re-membership and attached to the delegation. This grant is used to reimburse, upon presentation of invoices, part of the costs incurred by delegates during their participation in local events. Prizes cannot be combined. Only the remaining amount from the previous year can be topped up.
• Maintains an inventory of entrusted equipment;
• Returns, at the end of the mandate, all the property belonging to the association.
Any member who is up to date with their subscription can participate in the General Assembly (ordinary or extraordinary) and vote.
• The ordinary AGM is held once a year.
• An extraordinary AGM may be convened by the Bureau or at the request of at least a quarter of the members.
Invitations are sent by mail or email at least three weeks in advance. The agenda, established by the Bureau, takes into account the members' proposals.
THERE. G. is chaired by the outgoing President. A session secretariat is appointed from among the participants.
During A. G. ordinary:
• The Bureau presents the activity report and submits it to a vote;
• The Treasurer presents the financial report for the financial year (from July 1 to June 30), and requests its approval;
• The Bureau proposes the amount of the contribution:
• standard annual
• reduced for those under 26
• Members vote on the resolutions included on the agenda.
• The Office presents the list of candidates for the functions of the new Office.
• Voting by proxy is authorized, up to a limit of two proxies per member present. Decisions are made by simple majority. All deliberations of the ordinary and/or extraordinary general meeting are taken by show of hands. The secret ballot can be requested either by the office or by a quarter of the members present. Specific provisions are provided for elections (article 14), statutory modifications (article 16) and dissolution (article 17). THERE. Ordinary G. can also rule on membership in other LGBTQIA+ or motorcyclist associations, and on the modification of the statutes.
• The three to seven members of the Bureau are elected separately, by secret ballot.
• Mandates are renewable.
Office eligibility requirements
1. Eligibility
Any member who has been up to date with their contributions for at least one year is eligible.
2. Communication of applications
Applications received are communicated to all members upon receipt. Any candidacy can be accepted until the time of the election of the new office. They are transmitted to all members present at the general assembly, just before the vote for the new office.
Two rounds are planned:
• Is elected in the first round, the candidate having obtained an absolute majority (50% + 1 vote);
• Failing this, a second round is organized by a relative majority.
• In the event of a single application, only one round is organized; The candidate must obtain an absolute majority.
• In the event of resignation or permanent incapacity of a member of the office, the office may appoint a replacement from among the members of the Office, until the next AGM.
Internal regulations specify the elements not covered by the statutes. It is developed and modified by the Office subject to validation during an ordinary AGM.
Any modification of the statutes must be voted on at an ordinary general meeting bringing together at least a quarter of the members. If this quorum is not reached, a new AGM is convened within one month and can deliberate regardless of the number present. In all cases, the modifications must be approved by two-thirds of the voters.
A specially convened general meeting can rule on the dissolution of the association. The required quorum is half plus one of the members. In the event of a lack of quorum, a new AGM is convened within one month and can deliberate regardless of the number of participants. Dissolution can only be decided by a two-thirds majority. In the event of dissolution, one or more commissioners are appointed to carry out the liquidation. The net assets will be allocated to one or more associations pursuing a similar goal. Members will not be able to benefit from it under any circumstances.
